AGREEMENT ON PARTICIPATION IN THE MARKETING PROGRAM “TOP GROUP”

 

1. General Provisions
This document, permanently available at www.1TOP.GROUP, constitutes the official offer of TOP GROUP LTD (hereinafter — the “Company”) and governs the terms of participation in the “TOP GROUP” partner advertising and bonus program (hereinafter — the “Agreement”). This Agreement contains all essential terms of participation in the “TOP GROUP” marketing program and is considered effective from the moment of acceptance.
Appendix No. 1 is an integral part of this Agreement.

Important: Any information regarding income, bonuses, and discounts is provided for reference purposes only and does not guarantee any financial results. All participant rewards are paid from the amount paid by the end customer for the informational product.

2. Definitions

  • Company – the legal entity TOP GROUP LTD.
  • Company’s Website – the official web resource at www.1TOP.GROUP.
  • Product (Privilege Card) – a digital product granting the User access to a database of current offers from partner organizations, including special conditions such as discounts, bonuses, and promotions.
  • Buyer – a natural or legal person purchasing the Privilege Card.
  • Purchase Agreement – a contract under which the Company undertakes to transfer the Product to the Buyer, and the Buyer undertakes to pay its sale price.
  • Order / Physically Declared Unit (PDU) – a business slot registered under the TOP GROUP advertising and bonus program.
  • TOP GROUP Marketing Program – a career-building program based on promoting the Company’s goods and services via an affiliate and bonus system.
  • Affiliate Program Participant – a registered User who has expressed the desire to join the advertising bonus program by concluding this Agreement. A participant may terminate their participation at any time and revert to regular User status.
  • Registration Number – a unique ID assigned to the participant upon registration.
  • Upline Leader – a participant under whose registration number other participants are registered.
  • Direct Upline or Inviter – the participant under whose ID a Direct Invited Participant is registered.
  • Direct Invited Participant – a participant registered under a Direct Upline’s number.
  • Level‑2 Referral – a participant registered under a Direct Invited Participant’s number.
  • Level‑3 Referral – a participant registered under a Level‑2 Referral’s number.
  • Business Structure – the aggregate of participants registered under a specific Direct Upline number.
  • Business Platform – a tracking sheet reflecting the number of business slots filled and the order of payment.
  • Personal Account – the user interface on the Company’s website available post-registration, allowing the participant to monitor their activity, track orders, invite new users, and obtain information about services.
  • Payment Bonus – an internal accounting unit credited to participants for activity in the advertising and bonus program. It can be used to pay for program participation, transferred to other participants, redeemed for discount certificates, or withdrawn as USD to designated crypto wallets or bank accounts.
  • Coupon – an accounting instrument valid only within the TOP GROUP advertising and bonus program.
  • Cycle – a period during which a participant's business slot moves from bottom to top, and all four slots under it are filled. After the cycle, the participant may choose a new business platform or be moved to the upline’s platform using reinvestment credited by the Company.
  • Reinvestment – the automatic deduction of a specified amount of Payment Bonuses to pay for a business slot on the next platform.

Unlike traditional models, TOP GROUP creates value for all participants — consumers, sellers, and partners — forming an effective ecosystem of mutual benefit. The uniqueness of the program lies in its three-tier financial model, where each component complements and reinforces the others, creating a synergistic effect. All three phases start simultaneously and offer participants wide earning opportunities:

  • Payment for each order placed on the business platform;

  • Reward for exiting the business platform;

  • Referral bonuses and leadership payments earned by building a partner network.

PARTICIPATION REQUIREMENTS

To join the TOP GROUP promotion-and-bonus program and begin receiving rewards for promoting the company’s products and services, you must:

  1. Register on the official TOP GROUP website;

  2. Purchase the company’s privilege card;

A buyer becomes a participant of the TOP GROUP promotion-and-bonus program only after fulfilling all the above conditions. A business platform is an element of the "TOP GROUP" marketing system used for accounting and distributing the income of all participants on these platforms.      

4. Types of Business Platforms in the Promo‑Bonus Program

  • Start Business Platform is designed to earn 2 070 TOP bonuses. When purchasing privilege cards worth 690 USD (USD), the orders (slots) are placed on the lower level of the Starter Business Platform of the upline leader.
  • Standard Business Platform is designed to earn 4 140 TOP bonuses. When purchasing privilege cards worth 1 380 USD (USD), the orders are placed on the lower level of the Standard Business Platform of the upline leader.
  • Comfort Business Platform is designed to earn 9 000 TOP bonuses. When purchasing privilege cards worth 3 000 USD (USD), the orders are placed on the lower level of the Comfort Business Platform of the upline leader.
  • Premium Business Platform is designed to earn 15 000 TOP bonuses. When purchasing privilege cards worth 5 000 USD (USD), the orders are placed on the lower level of the Premium Business Platform of the upline leader.
  • Lux Business Platform is designed to earn 30 000 TOP bonuses. When purchasing privilege cards worth 10 000 USD (USD), the orders are placed on the lower level of the Luxury Business Platform of the upline leader.
  • Partners can participate in all types of platforms simultaneously.

       5. Business Platform Operating Principle

Business platforms are a key element of the TOP GROUP marketing program. They are a structured system designed to track, manage, and fairly distribute income among all program participants.
Each business platform comprises two levels: upper and lower. The upper level always contains a single business slot, which is always occupied.

                   

The lower level consists of four business slots, which are filled by Partners joining this type of platform. Upon the initial purchase of a certificate and account activation, a Partner is placed on the platform of their Direct Sponsor, regardless of whether the Direct Sponsor's slot is on the upper or lower level. If the Direct Sponsor does not have a slot on this type of platform, the Partner is placed on the platform of the Higher-Level Leader who is on this type of platform.

                   

Slots are filled from left to right. A slot on the business platform is occupied only after purchasing discount certificates. The buyer can become a program Partner and place their first order at any time by independently activating their slot on the platform in their personal account.

Filling of business platforms occurs:

  • all Partners located on this business platform;
  • direct invitees;
  • orders of invited both Superior and inferior Partners;
  • all Partners of the company who have chosen this platform.

After filling up, the platform is redistributed: partners from the lower level move to the upper level of the same type and cost platforms, while the partner from the upper level moves to the lower level of the next same type and cost platform in accordance with section 6 "Reinvestment", either to a higher-level leader or to any platform of their choice (every second cycle).   

          General commission distribution system across all platforms:

For a personal invitation or reinvestment of a direct invitee and placing their position at the lower level of the platform, the participant occupying the upper level of the platform receives 50% of the certificate payment amount. For a personal invitation or reinvestment of a direct invitee and placing their position at the lower level of the platform, the participant occupying the lower level position receives 30% of the certificate payment amount. Additionally, 20% of this amount is credited to the participant occupying the upper level of that platform. If, during a reinvestment, a participant specifies the number of a platform where their direct upline is absent, then the participant at the upper level receives 50% of the reinvestment amount for that type of business platform.

        6. Reinvestment

Reinvestment Mechanism

Reinvestment is a key element of the TOP GROUP program, ensuring its sustainability, dynamic development, and continuous growth of participant structures.

Principle of Automatic Reinvestment

After a platform is closed (filled) and the reward is received, reinvestment amount is automatically allocated to pay for a new spot on the next platform of the same type. This process is fully automated and requires no user intervention, ensuring uninterrupted system operation.

Rule of Cycle Alternation

The TOP GROUP program uses a cycle alternation system to determine the participant's placement during reinvestment:

  • Odd cycles (1, 3, 5, etc.): the participant’s spot is automatically assigned to the platform of their Upline Leader — the Direct Inviter (or another Upline if the Inviter is not on this platform type).

  • Even cycles (2, 4, 6, etc.): the participant can independently choose the next platform by entering the Partner ID in the "Select Partner" field.
    If this field is left blank, the system assigns the participant to the platform of their Upline Partner.

A Partner can see tiers depending on the number of personally invited members on this platform type:

  • With one personally invited member, the Partner will see platforms (top 30) with one filled business slot.
  • With two personally invited members, the Partner will see platforms (top 30) with one or two filled business slots.
  • With three personally invited members, the Partner will see platforms (top 30) with one, two, or three filled business slots.

         Special Conditions

During reinvestment and platform selection for program participation, the number of personally invited Partners on this platform type is indicated next to each Partner’s order. This helps all program participants gauge the activity level of each platform. Platforms with the most invited participants will appear at the top of each list when selecting the TOP GROUP program.

         7. Business Platforms

The TOP GROUP program includes five categories of business platforms, differing in entry level, reward amount, and target audience.

         Start Business Platform (690)

Platform Details:

  • Privilege card activation fee on the platform — 690 USD.

  • Total Reward: 2070 TOP bonuses

  • Withdrawable Amount: 1380 TOP bonuses (66.7%)

  • Automatic Reinvestment: 690 TOP bonuses (33.3%)

The Start Business Platform is designed to provide a reward of 2,070 TOP bonuses. Each platform has a two-level structure: an upper and a lower level. After purchasing a privilege card for 690 USD, the participant’s positions are automatically placed on the lower level of the Start Business Platform of the upline leader.

                   

Slot placement from left to right, according to Section 4 "Business Platform Operating Principle," means that orders are placed on the platform in the order they are received, starting from the far left position and continuing to the right. Once all remaining slots on the lower level of the Starter Business Platform are filled, the platform splits, and a slot from the lower level moves to the upper level of a new Starter Business Platform, forming a new lower level with four available business slots.

                   

Commission Distribution

After a Partner is placed on the Starter Platform, commissions are distributed as follows:

  1. Each inviter of Partners on the lower level of the Starter Platform receives 207 TOP bonuses.
  2. The Partner on the upper level receives 138 TOP bonuses for each invitee to this business platform.
  3. If the inviter is on the upper level of the Starter Platform, they receive 345 TOP bonuses for each invitee to this platform type.

                   

Commissions are awarded only if the Partner is on the specified tier. In the absence of an inviting Partner due to spillover, the entire commission is credited to the Partner on the upper level, and the Partner is considered directly invited by the upper-level Partner.

        Total Reward Amount

The total reward amount is 2,070 TOP bonuses, of which 1,380 TOP bonuses are available for withdrawal to personal wallets or through settlement coupons as TOP bonuses are received. After completing a cycle, an automatic reinvestment of 690 TOP bonuses is made for the next cycle's order on the Starter Platform.

         Reinvestment and Transition

Once the platform is filled, it splits, with Partners from the lower level moving to the upper level of their new platforms, and the upper-level Partner moving to the lower level of the next Starter Platform as per Section 6 "Reinvestment." This can occur either to the Higher-Level Leader or to any Starter Platform of their choice (every second cycle).

         Standard Business Platform (1380)

Detailed Description:

  • Privilege card activation fee on the platform —1380 USD.

  • Total Reward: 4,140 TOP bonuses

  • Available for Withdrawal: 2,760 TOP bonuses (66.7%)

  • Automatic Reinvestment: 1,380 TOP bonuses (33.3%)

The Standard Business Platform is designed to generate a reward of 4,140 TOP bonuses. Each business link consists of two levels: upper and lower. After purchasing privilege cards for 1,380 USD, the participant’s spots are placed on the lower level of the Standard Business Platform of the upline leader.

                   

Order placement from left to right, according to Section 4 "Business Platform Operating Principle," means that orders are placed on the platform in the order they are received, starting from the far left position and continuing to the right.           Comfort Business Platform (3000)

The Comfort Business Platform is designed to generate a reward of 9,000 TOP bonuses. Each business platform consists of two levels: upper and lower. After purchasing a privilege card for 3,000 USD, the participant’s spots are placed on the lower level of the Comfort Business Platform of the upline leader.

Commissions are awarded only if the Partner is on this platform type. In the absence of an inviting Partner due to spillover, the entire commission is credited to the Partner on the upper level, and the Partner is considered directly invited by the upper-level Partner.

         Total Reward Amount

The total reward amount is 9,000 TOP bonuses, of which 6,000 TOP bonuses are immediately available for withdrawal to personal wallets or through settlement coupons as TOP bonuses are received. After completing a cycle, an automatic reinvestment of 3,000 TOP bonuses is made for the next cycle's order on the Comfort Business Platform. 

         Reinvestment and Transition

Once the platform is filled, it splits, with Partners from the lower level moving to the upper level of their new platforms, and the upper-level Partner moving to the lower level of the next Comfort Platform as per Section 6 "Reinvestment."          Premium Business Platform (5000)

The Premium Business Platform is designed to generate a reward of 15,000 TOP bonuses. Each business platform consists of two levels: upper and lower. After purchasing a privilege card for 5,000 USDT, the participant’s spots are placed on the lower level of the Premium Business Platform of the upline leader.

        Total Reward Amount

The total reward amount is 15,000 TOP bonuses, of which 10,000 TOP bonuses are available for withdrawal to personal wallets or through settlement coupons as TOP bonuses are received. After completing a cycle, an automatic reinvestment of 5,000 TOP bonuses is made for the next cycle's order on the Premium Business Platform.

                       

        Reinvestment and Transition

Once the platform is filled, it splits, with Partners from the lower level moving to the upper level of their new platforms, and the upper-level Partner moving to the lower level of the next Premium Platform as per Section 6"Reinvestment." This can occur either to the Higher-Level Leader or to any Premium Platform of their choice (every second cycle).

         Luxe Business Platform (10000)

Detailed Description:

  • Total Reward: 30,000 TOP bonuses

  • Available for Withdrawal: 20,000 TOP bonuses (66.7%)

  • Automatic Reinvestment: 10,000 TOP bonuses (33.3%)

 The Lux Business Platform is designed to receive a reward of 30,000 TOP bonuses. Each business platform consists of two levels: upper and lower. After purchasing a privilege card for 10,000 USD, buyers’ places are placed at the lower level of the Lux Business Platform of the upline leader.

                   

Order placement from left to right, according to Section 4 "Business Platform Operating Principle," means that orders are placed on the platform in the order they are received, starting from the far left position and continuing to the right.   3. If the inviter is on the upper level of the Luxe Business Platform, they receive 5,000 TOP bonuses for each invitee to this platform type.

                   

Commissions are awarded only if the Partner is on this platform type. In the absence of an inviting Partner due to spillover, the entire commission is credited to the Partner on the upper level, and the Partner is considered directly invited by the upper-level Partner.

        Total Reward Amount

The total reward amount is 30,000 TOP bonuses, of which 20,000 TOP bonuses are available for withdrawal to personal wallets or through settlement coupons as TOP bonuses are received. After completing a cycle, an automatic reinvestment of 10,000 TOP bonuses is made for the next cycle's order on the Luxe Business Platform.

                  

        Reinvestment and Transition

Once the platform is filled, it splits, with Partners from the lower level moving to the upper level of their new platforms, and the upper-level Partner moving to the lower level of the next Luxe Platform as per Section 6 "Reinvestment." This can occur either to the Higher-Level Leader or to any Luxe Platform of their choice (every second cycle).

         8. Leadership Program: Reward Payments

A Partner becomes a participant in the Leadership Program when they have registered three direct invitees (FZE) on the Start, Standard, Comfort, Premium, or Luxe platforms under their registration number. The Leadership Program runs in parallel with the business platform filling program and operates independently. Participants in the Leadership Program receive bonus rewards for each new order placed by their Partners on the lower level of business platforms and for reinvestment of their Partners' slots. Bonus rewards are credited in the form of conditional career growth units. The position and bonus rewards in the Leadership Program depend solely on the results of your work and the work of the Partners you invited, i.e., the volume of submitted products.

        Bonus Rewards:

  • Start Business Platform: 1 conditional unit per new slot.
  • Standard Business Platform: 2 conditional units per new slot.
  • Comfort Business Platform: 3 conditional units per new slot.
  • Premium Business Platform: 5 conditional units per new slot.
  • Luxe Business Platform: 8 conditional units per new slot.

        Reinvestment Units:

For each reinvested order on various business platforms, Higher-Level Leaders receive conditional units:

  • Start Business Platform: 1 conditional unit.
  • Standard Business Platform: 2 conditional units.
  • Comfort Business Platform: 3 conditional units.
  • Premium Business Platform: 5 conditional units.
  • Luxe Business Platform: 8 conditional units.

       Commission Reward Amount:

For each new online sale of a privilege card made after a personal consultation, the Partner receives a commission. The amount of the commission depends on the Partner's career level and is determined according to the monetary value per unit established in the Agreement.

        Levels and Reward Amounts:

  • Level 0: 0 to 3 personally invited orders – No commission.
  • Level 1: 3 to 5 personally invited orders – $3.0 per unit.
  • Level 2: 5 to 7 personally invited orders – $5.0 per unit.
  • Level 3: 7 to 75 units of total products – $10.0 per unit.
  • Level 4: 75 to 300 units of total products – $15.0 per unit.
  • Level 5: 300 to 1,000 units of total products – $20.0 per unit.
  • Level 6: 1,000 to 3,000 units of total products – $25.0 per unit.
  • Level 7: 3,000 to 10,000 units of total products – $28.0 per unit.
  • Level 8: 10,000 to 30,000 units of total products – $30.0 per unit.
  • Level 9: 30,000 to 100,000 units of total products – $32.0 per unit.
  • Level 10: 100,000 to 250,000 units of total products – $33.0 per unit.
  • Level 11: 250,000 to 500,000 units of total products – $33.7 per unit.

       Commission and Leadership Reward Calculation Examples:

       Partner Level: 1st

  • Rate per unit: $3 USD
  • Credited for the reporting period: 5 units
  • Calculation:
    • 5 units × $3 USD = $15 USD
  • Partner's commission: $15 USD

       Leadership Reward Calculation Example (for one Partner):

  • Partner Level: 6th
  • Rate per unit: $25 USD
  • Lower-Level Partner Level: 3rd
  • Rate per unit: $10 USD
  • Submitted during the reporting period: 18 units from the lower-level Partner
  • Calculation:
    • 18 units × ($25 USD - $10 USD) = 18 units × $15 USD = $270 USD
  • 6th level Partner's leadership commission: $270 USD

       Important Notes:

When Partners join the Leadership Program, Higher-Level Leaders receive the difference between level rewards. However, when Partners reach the same level, leadership bonuses for the Higher-Level Leader are not credited.

       Special Conditions for Leadership Rewards:

When registering a car dealership or construction company on the website, the Partner who recommended the registration receives 10 units in their career ladder (without commission under the Leadership Program), ensuring immediate access to level 3 and an increase in units in the career ladder.

      9. Company Prizes (from level 3):

  • 10 direct invited Partners within 30 days: Branded TOP GROUP watch.
  • Level 3: Branded TOP GROUP badge.

  • Level 5: Set of branded TOP GROUP pens.

  • Level 9: 100g gold bar (999.9 purity)
  • Level 10: 250g gold bar (999.9 purity)
  • Level 11: Premium-class car. 

10. Order Payment, Withdrawal of Funds, Rights of the Parties

Payment for Privilege Cards in the company "TOP GROUP" is possible in the following ways:

  • By all available methods depending on the country of program use.

  • By bank cards (credit and debit).

  • By bank transfer.

  • In cryptocurrency USDT.

  • By coupons.

  • By internal bonuses (TOP bonuses).

Use of TOP bonuses:

Partners can use TOP bonuses for:

  • Purchasing Privilege Cards.

  • Placing new orders.

  • Withdrawal via coupons (a new option with no fees for partner convenience).

Withdrawal of funds in USD:

The partner may withdraw USD to their electronic wallet.

Algorithm for withdrawing TOP bonuses in USD:

  • Funds received from sales are withdrawn by the company administrator to the specified USDT wallets.

  • The transfer is made within 3 (three) banking days.

  • The minimum withdrawal amount is 150 USD.

  • A withdrawal fee may apply.

Other Conditions

Order and account reassignment:

  • A partner who has activated a business seat in the Partner Program cannot change the selected business platform.

  • A partner has the right to reassign their account to another person without giving a reason.

  • The cost of reassignment is 50% of the original discount certificate purchase amount.

Rights and obligations of the parties:

  • The "TOP GROUP" company reserves the right to unilaterally make changes to the advertising bonus program.

  • In case of a violation of this Agreement, or in case of financial or moral-ethical violations, the company has the right to unilaterally terminate the Agreement with the Partner.

  • Partners are strictly prohibited from conducting any additional advertising activity without the consent of company management.

    11. Other Conditions

        Order Reassignment:

  • A Partner who placed an order under the Partner Program cannot change the business platform.
  • A Partner has the right to reassign their order to another person without specifying reasons. The Partner pays the reassignment procedure cost, determined as 50% of the initial purchase amount of the discount certificate.

       Rights and Obligations of the Parties:

  • The company has the right to unilaterally make changes to the "TOP GROUP" advertising bonus program.
  • In case of violation of this Agreement, as well as financial and ethical violations, the company has the right to unilaterally terminate the Agreement with the Partner.
  • Partners of the company are strictly prohibited from conducting additional advertising activities without company management approval.

to the marketing program of TOP GROUP (legal clarifications and liability provisions)

1. Legal status of the company
1.1. The company TOP GROUP LTD is registered in the Republic of South Africa (RSA) and operates in accordance with the legislation of the RSA.
1.2. All marketing materials, offers, and calculations under the affiliate program are considered to be carried out within the jurisdiction of the RSA.

2. Nature of the marketing program
2.1. The marketing program provides an opportunity to receive rewards for promoting the company’s informational product — access to the digital platform and privileges from partners.
2.2. Rewards are paid exclusively for the fact of a completed transaction for the purchase of digital access by third parties via a referral link. The company does not pay rewards for registration, engagement without payment, or actions without financial results.
2.3. The marketing program is not an investment scheme, does not guarantee income, and does not fall under the characteristics of a “multi-level investment platform” or “financial pyramid.”

3. Settlement currency and payment instruments
3.1. Settlements between platform participants and the company are carried out in a digital asset (cryptocurrency USDT), as well as in fiat currency through third-party banking or payment channels.
3.2. In this regard:
• payment systems and banks connected to the platform are registered outside the territories of states where separate licenses are required for accepting cryptocurrencies or distributing marketing programs;
• the Republic of South Africa officially recognizes cryptocurrency as a legal digital asset permitted for private settlements.
3.3. The opening of bank accounts and the connection of payment gateways are carried out by the company to expand the availability of services, while:
• such accounts are not opened in countries with strict currency and tax controls;
• users are obliged to independently consider the tax and currency requirements of their respective countries.

4. Disclaimer of warranties and obligations
4.1. The company does not guarantee income and does not declare any expected profitability of the marketing program.
4.2. All payments and bonuses are made exclusively on the condition that the user complies with the terms of the agreement and subject to payment from referred clients.
4.3. Public statements by program participants are not considered official company statements and cannot be used as evidence of promised income.

5. Cooling-off waiver
5.1. In accordance with the legislation of the RSA and the conditions of digital service provision, the User waives the right to a refund within 14 days after payment for access, even if such a right is provided in the country of their residence.
5.2. The company is not obliged to observe a “cooling-off period” because:
• the service is provided immediately after payment;
• access to the platform is activated automatically;
• the product is non-refundable.

6. Risk and liability clarification
6.1. The User confirms that:
• they are informed of the possible legal, tax, and currency risks of participation;
• they act voluntarily and consciously;
• they have no claims against the company in case of absence of the expected result.
6.2. The company recommends:
• consulting a lawyer or tax advisor in their own country in advance;
• not to consider the marketing program as an investment offer.
